Terms of Use
These terms govern access to and use of the websites, applications, and services provided by ellr (the "Service"), including Ellr Timesheet and QuickBooks Online integrations. By using the Service, you agree to these terms.
1. Acceptance
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.
2. Service description
ellr provides software tools and integration services to help organizations manage administrative and accounting workflows, including time entry and sync with QuickBooks Online.
The Service may evolve. We may add, change, or remove features with reasonable notice when practical.
3. Accounts and access
You are responsible for keeping credentials confidential and for activity under your account.
You must provide accurate information and keep administrator contact details up to date.
4. QuickBooks Online integration
Some features require an OAuth connection to QuickBooks Online. You authorize ellr to access the data needed to provide the Service, within the permissions you grant.
Intuit and QuickBooks are third-party brands. Your use of QuickBooks remains subject to Intuit's terms. ellr is not responsible for Intuit outages, API changes, or policy changes.
5. Acceptable use
You agree not to use the Service unlawfully, abusively, or harmfully; not to bypass security controls; and not to intentionally overload infrastructure.
You remain responsible for content and data you enter or sync.
6. Intellectual property
The Service, software, trademarks, and ellr content remain the property of ellr or its licensors. No license is granted beyond what is needed to use the Service under these terms.
7. Disclaimer of warranties
The Service is provided "as is" and "as available" to the fullest extent permitted by law. ellr does not warrant uninterrupted or error-free operation, or that the Service will meet every particular business need.
ellr does not provide legal, tax, or accounting advice merely through use of the software.
8. Limitation of liability
To the fullest extent permitted by applicable law, ellr will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill.
ellr's total liability related to the Service is limited in aggregate to the amounts you paid ellr for the Service in the twelve (12) months before the claim, or zero dollars if the Service is provided free of charge.
9. Termination
You may stop using the Service and request account closure through the available procedures.
We may suspend or terminate access for breach of these terms, security risk, or non-payment where applicable.
10. Governing law
These terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law rules.
The courts of Quebec have exclusive jurisdiction, subject to mandatory consumer rights.
11. Changes
We may update these terms. The date at the top shows the current version. Continued use of the Service after an update constitutes acceptance of the new terms, except where law requires otherwise.
